Time critical
Almost every tax outcome is decided by what was in place before the transaction. Once contracts are signed or the year has closed, most of the good options are gone and only the dispute work is left.
Once a contract is exchanged the structure is largely locked in. Restructuring afterwards usually triggers the very tax you were trying to manage, if it is possible at all.
Trustee resolutions must be made before the end of the income year. A late or missing resolution can push the income back to the trustee and see it taxed at the top marginal rate.
A loan from your company has to be repaid or put on a complying loan agreement by the lodgment day for that year, or it is treated as a deemed dividend in your hands.
Small business CGT concessions turn on holding periods and tests measured over years, and a private ruling takes time. Both reward planning well ahead of a sale.

Common questions
Your accountant should stay involved, and for most compliance work they are the right person. A lawyer adds three things: legal professional privilege over the advice, which accountants cannot offer in the same way; the ability to draft and stand behind the legal documents a structure depends on, such as trust deeds and loan agreements; and a legal opinion on the harder questions, like whether an arrangement is exposed to Part IVA or section 100A.
Yes. You are entitled to arrange your affairs so that you pay no more tax than the law requires, and structuring a transaction in a tax-effective way is ordinary commercial practice. The line is Part IVA, the general anti-avoidance rule, which applies where the dominant purpose of a scheme is obtaining a tax benefit rather than a genuine commercial outcome. Part of our job is to tell you plainly which side of that line something sits on.
Often, yes. A private ruling gives you the Commissioner position in writing and binds the ATO to it on those facts. It takes time, so it has to be started well before settlement, and it is not right for every matter. We advise on whether the certainty is worth the delay in your case.
Before anything is signed, and if you are heading toward a sale, ideally years rather than weeks ahead. Most of the small business CGT concessions depend on tests measured over long holding periods, and restructures are far cheaper before a buyer is at the table. The most expensive call is the one made after settlement.
